1. Introduction

These Terms of Service ("Terms") govern your access to and use of the ShowUp platform, including our website, APIs, and mobile applications (collectively, the "Platform"). By using ShowUp, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

ShowUp is a demand-generation and ticketing platform designed to de-risk live touring for artists, promoters, and venues. We enable fans to influence tour routing through financial commitments known as "Pledges."

2. The Pledging System

2.1 Nature of a Pledge

When you make a "Pledge" on ShowUp, you are creating a binding financial commitment to purchase a ticket (a "Virtual Ticket") for a specific artist in your city. A Pledge is not a direct purchase; it is a signal of intent backed by a verified payment method.

2.2 Payment Authorization

No money is charged at the time of pledging. We use Stripe to save your payment method. By pledging, you authorize ShowUp to verify your card and, should the show be confirmed, charge the final ticket price (up to your specified ceiling) once the opt-out window closes.

When an artist and promoter confirm a show based on demand data, all relevant pledgers are notified via email and platform notification.

The 7-Day Opt-Out Window

Once a show is confirmed, you have exactly 7 days to review the event details and price. Pledges are 100% free to cancel at any point before your card is charged.

Automatic Materialization

If you do not opt out within 7 days, your pledge "materializes" into a final ticket purchase. Your card will be charged for the final ticket price. ShowUp absorbs the transaction costs—you pay exactly the ticket price shown.

4. Price Equilibrium & "Top-Ups"

The final ticket price is determined by the promoter based on the aggregated demand curve.

Price below Ceiling: If the final price is equal to or lower than your pledged amount, you are automatically captured and charged at the final ticket price (not your maximum pledge ceiling).

Price above Ceiling: If the final price exceeds your pledge ceiling, you will be notified. You must explicitly confirm the price difference (a "Top-Up") within 7 days to keep your slot. Failure to confirm is treated as an automatic opt-out.

5. Refunds & Cancellations

Automatic Refund Guarantee

If a confirmed show is cancelled, we automatically refund the ticket price to your original payment method. Please note: Third-party processing fees (Stripe) are non-refundable and will be deducted from card reversals.

Upcoming Feature: You will soon have the option to receive 100% of your payment back (including all fees) as "ShowUp Credit" in your digital wallet for future pledges, with no deductions.

Transfer & Resale

Once the 7-day opt-out window has closed, tickets are non-refundable. If you can't make it, you can transfer or resell your ticket to another fan directly through ShowUp at face value.

6. Anti-Scalping & Ticket Delivery

Tickets on ShowUp are identity-bound. To protect fans from speculative scalping, tickets may only be transferred within the ShowUp platform or resold via our authorized face-value-limited marketplace.

7. Limitation of Liability

ShowUp provides the technology to facilitate these events but is not the organizer, promoter, or owner of the events themselves. We are not responsible for the quality, safety, or legality of the events, nor the performance of the Artists. Our maximum liability to you is limited to the amount of fees you have paid to us for the specific transaction in question.
