1. Introduction
These Terms of Service ("Terms") govern your access to and use of the ShowUp platform, including our website, APIs, and mobile applications (collectively, the "Platform"). ShowUp is operated by Plateforme ShowUp inc. ("ShowUp," "we," "us," or "our"), a corporation incorporated in Québec, Canada. By using ShowUp, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
ShowUp helps fans make local demand for live shows visible to performers, promoters, and venues. Rally participation is free. ShowUp currently accepts no fan payments.
1.1 Definitions
In these Terms, the Platform means ShowUp’s websites, applications, APIs, and related services. A rally is a community asking for a performer or production in a city. Joining a rally expresses interest; it does not purchase or reserve admission.
1.2 Eligibility
You may browse ShowUp, create an account, follow performers, join rallies, and receive updates if you are at least 13 years old or the higher minimum age required by applicable law. Any required parental consent must be obtained. No fan payment features are currently available.
1.3 Service Communications
ShowUp may send necessary account, security, service, and legal notices. Optional rally and product updates follow your notification preferences. You can unsubscribe from optional communications at any time.

2. Free rally participation
Joining a rally expresses interest in seeing a performer or production in your city. Joining and sharing require no payment method, authorization, or payment. A join is not a ticket, reservation, purchase, or guarantee that a show will be booked or take place. Counts and stages describe fan participation and momentum only. You can leave a rally at any time. Any future financial campaign will require a separate, explicit choice under its own proposal and terms; a free join never supplies payment consent.
3. Limitation of Liability
ShowUp makes fan interest visible and does not guarantee that a performer will tour or a show will take place. Show organizers remain responsible for their own events, venue operations, safety, and performance. Nothing in these Terms limits liability or rights that cannot be limited or excluded under applicable law.
4. Privacy
Our Privacy Policy explains how we collect, use, disclose, and protect personal information. It forms part of these Terms.
5. Changes to These Terms
We may update these Terms from time to time. We will post the updated version and revise its effective date. Where required by law or where a change materially affects your rights, we will provide additional notice. Your continued use of the Platform after the effective date means you accept the updated Terms, except where applicable law requires another form of consent.
6. General Provisions
11.1 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect to the extent permitted by law.
11.2 Entire Agreement. These Terms, the Privacy Policy, and any applicable event terms form the entire agreement between you and ShowUp regarding the Platform and supersede prior understandings on that subject.
11.3 Waiver. A failure to enforce any provision is not a waiver of that provision or any other provision.
11.4 Assignment. You may not assign or transfer these Terms without our prior written consent. ShowUp may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets, subject to applicable law.

11.6 Governing Law and Disputes. These Terms are governed by the laws of the Province of Québec and the applicable laws of Canada, without regard to conflict-of-law rules. Any dispute arising from these Terms or your use of the Platform is subject to the exclusive jurisdiction of the courts of the judicial district of Québec, Québec, subject to any mandatory consumer-protection rights you may have in your place of residence.
11.7 Language. These Terms are available in English and French. You may request the French version at any time; where required by applicable law, the French version governs.
7. Accounts and Acceptable Use
7.1 Account Security. Keep your account information accurate, protect your sign-in credentials, and notify us if you suspect unauthorized access.
7.2 Acceptable Use. Do not commit fraud, impersonate others, submit unlawful or abusive content, interfere with the service, or use automated or bulk access without permission, except where applicable law permits.
8. Intellectual Property
ShowUp and its licensors own the Platform, including its software, design, content, trademarks, logos, and other intellectual-property rights. Subject to these Terms, ShowUp grants you a limited, personal, revocable, non-transferable, non-sublicensable license to use the Platform for its intended purpose. No rights are granted except as expressly stated in these Terms.
9. Suspension and Termination
We may suspend or terminate access or remove content when reasonably necessary to prevent fraud or abuse, enforce these Terms, protect people or the Platform, or comply with law. We provide notice where appropriate and required by law. Termination does not affect previously accrued rights or obligations.
10. Force Majeure
ShowUp is not responsible for delays, changes, cancellations, or failures caused by events beyond its reasonable control, including severe weather, natural disasters, pandemics, strikes or labour disputes, artist illness or unavailability, venue closure, government restrictions, public-health measures, transportation disruptions, or utility and network failures. Refunds and other remedies remain subject to applicable law and the applicable event terms.
