1. Introduction
These Terms of Service ("Terms") govern your access to and use of the ShowUp platform, including our website, APIs, and mobile applications (collectively, the "Platform"). By using ShowUp, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
ShowUp is a demand-generation and ticketing platform designed to de-risk live touring for artists, promoters, and venues. We enable fans to influence tour routing through conditional purchase authorizations known as "Pledges."
1.1 Definitions
In these Terms: "Platform" means ShowUp’s websites, applications, APIs, and related services; "Pledge" means a conditional authorization to purchase a ticket, up to the price ceiling you select; "Organizer" means the promoter, venue, or other party responsible for presenting a Show; "Show" means a live event offered through the Platform; "Ticket" means the right of admission issued for a Show; and "Final Ticket Price" means the price of a Ticket before applicable taxes.
1.2 Eligibility
Platform Access. You may browse the Platform, create an account, follow Artists, join Rallies, and receive updates if you are at least 13 years old or the minimum age permitted by applicable law, whichever is higher. Financial Features. Only users who have reached the age of majority in their jurisdiction may make a Pledge, save a payment method, authorize future charges, purchase Tickets, or transfer or resell Tickets.
1.3 Service Communications
You agree that ShowUp may send you transactional and service-related communications by email and through the Platform, including account notices, Pledge and show confirmations, payment and refund notices, ticket delivery, safety updates, and legal notices. These communications are necessary to provide the Platform and cannot be opted out of while you use the relevant services. Marketing communications are separate, optional, and subject to your communication preferences; you can unsubscribe from them at any time.

2. The Pledging System
2.1 Nature of a Pledge
During the Beta, when you make a Pledge on ShowUp, you express interest in attending a potential live show for a specific Artist in your selected city and set a price ceiling. A Pledge is a demand signal, not an authorization to purchase a Ticket.

A Pledge is not an immediate purchase, and ShowUp does not charge you when you make it.

It is a verified signal of demand and places your pledge in the show’s demand and ticket-allocation process if a show is confirmed. It does not guarantee a ticket.

If a Show is confirmed, you will receive a seven (7) calendar-day review period. During the Beta, you must explicitly opt in during that period before any Ticket purchase or charge can proceed. The review process is described in Section 3.
Pledges help artists, promoters, and venues understand fan demand, but they do not guarantee that a show will be organized, confirmed, or take place.
2.2 Payment Method and Purchase Authorization
By making a Pledge, you represent and warrant that you have reached the age of majority in your jurisdiction and have the legal capacity to enter into a transaction. No money is charged when you make a Pledge. We use Stripe to save and verify your payment method. During the Beta, ShowUp may charge your saved payment method only after a Show is confirmed, you have reviewed the final information, and you explicitly opt in to the purchase during the review period. Applicable sales taxes are calculated when the purchase is completed based on the confirmed event and the laws applicable at that time, and are added to the amount charged.
3. Show Confirmation & Beta Review
3.1 Confirmation
When an artist and promoter confirm a show based on demand data, all fans who have pledged are notified by email and platform notification.
3.2 Beta Review and Opt-In
Once a Show is confirmed, you have a seven (7) calendar-day review period. During that period, you can review the Organizer identity, venue, event date and time, ticket type, Final Ticket Price, applicable taxes, total amount payable, cancellation, refund and transfer terms, and any other material event information. During the Beta, no action means your Pledge expires without charge. To proceed, you must explicitly opt in before the review period closes.
3.3 Completion of Purchase
A Pledge is not itself the purchase of a Ticket. After a Show is confirmed, ShowUp will provide the final information required to complete the transaction, including the final event details, Final Ticket Price, applicable taxes, Organizer identity, and applicable event terms. During the Beta, ShowUp completes a Ticket purchase only if you explicitly opt in during the review period. If you do not opt in before it closes, your Pledge expires without charge. Your Ticket is issued after successful payment.
4. Pricing, Taxes & Additional Price Approval
The final ticket price is determined by the promoter based on the aggregated demand curve.
4.1 Price Within Your Ceiling: If the Final Ticket Price is equal to or lower than your approved price ceiling, you may opt in to purchase the Ticket during the review period. After your opt-in, your card is charged the Final Ticket Price and applicable sales taxes calculated at payment, not your maximum Pledge ceiling.
4.2 Additional Price Approval: If the Final Ticket Price exceeds your Pledge ceiling, we will notify you and ask you to approve the additional amount ("Additional Price Approval"). You must approve that amount and explicitly opt in within the stated review period to proceed; otherwise, your Pledge expires without charge.
5. Payment, Ticketing & Allocation
5.1 Payment Processing. Payment services are provided by Stripe and may be subject to Stripe’s terms. You authorize ShowUp and its payment providers to verify your payment method and process authorized charges, refunds, and reversals.
5.2 Failed Payments and Chargebacks. If an authorized charge fails, is reversed, or is disputed, we may retry the charge where permitted, suspend or cancel the affected Pledge or ticket, and take other action permitted by law. If you believe a charge is incorrect, contact us first so we can investigate; this does not limit any rights you have under applicable law.
5.3 Ticket Allocation and Transfers. A Pledge does not guarantee ticket availability. Tickets are allocated subject to available inventory, applicable event terms, and the information you provide. Where transfer or resale is available, it must occur through ShowUp or another authorized channel and is subject to the applicable event terms.
5.4 Identity Verification. We may require you to verify your identity, payment method, or eligibility before issuing, transferring, or admitting a ticket, where reasonably necessary to prevent fraud, comply with law, or enforce event terms. Failure to complete a required verification may prevent ticket issuance or access.
6. Refunds & Cancellations
Cancelled Shows
If a confirmed Show is cancelled, ShowUp will process refunds owed to eligible purchasers in accordance with the cancellation terms applicable to the event and applicable law.
Transfer & Resale
Except where required by applicable law or expressly provided in these Terms, Tickets are non-refundable after the review period closes. If you cannot attend, you may be able to transfer or resell your Ticket to another fan through ShowUp at face value, where available and subject to applicable event terms.
Material Changes
If a confirmed Show is materially changed after your Ticket is issued, including a significant change to the date, venue, or headline Artist, your rights and available remedies are governed by the applicable event terms and applicable law.
7. Anti-Scalping & Ticket Delivery
Tickets on ShowUp are account-bound. To protect fans from speculative scalping, tickets may only be transferred within the ShowUp platform or resold via our authorized face-value-limited marketplace.
8. Limitation of Liability
ShowUp operates the Platform and facilitates ticket sales for live events. Each Show is organized by the Organizer identified for that event. The Organizer is responsible for producing the event and complying with applicable laws, including decisions about the event’s production, venue operations, safety, and Artist performance. To the extent permitted by applicable law, our maximum liability to you arising from an affected transaction is limited to the total amount you paid for that transaction. Nothing in these Terms limits liability or rights that cannot be limited or excluded under applicable law.
9. Privacy
Our Privacy Policy explains how we collect, use, disclose, and protect personal information. It forms part of these Terms.
10. Changes to These Terms
We may update these Terms from time to time. We will post the updated version and revise its effective date. Where required by law or where a change materially affects your rights, we will provide additional notice. Your continued use of the Platform after the effective date means you accept the updated Terms, except where applicable law requires another form of consent.
11. General Terms
11.1 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect to the extent permitted by law.
11.2 Entire Agreement. These Terms, the Privacy Policy, and any applicable event terms form the entire agreement between you and ShowUp regarding the Platform and supersede prior understandings on that subject.
11.3 Waiver. A failure to enforce any provision is not a waiver of that provision or any other provision.
11.4 Assignment. You may not assign or transfer these Terms without our prior written consent. ShowUp may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets, subject to applicable law.

12. Accounts and Acceptable Use
12.1 Account Security. You are responsible for the accuracy of your account information and for safeguarding your sign-in credentials. You must promptly notify us of suspected unauthorized access. You may not create multiple accounts to evade limits, restrictions, or enforcement actions.
12.2 Acceptable Use. You must not use the Platform to commit fraud; evade ticket, payment, or resale rules; scalp or transfer Tickets outside authorized channels; impersonate another person or entity; submit unlawful, misleading, or abusive content; interfere with the Platform; reverse engineer, decompile, or attempt to extract source code except where law permits; or use bots, scrapers, automated tools, or bulk methods to access or collect Platform data without our prior written permission.
13. Intellectual Property
ShowUp and its licensors own the Platform, including its software, design, content, trademarks, logos, and other intellectual-property rights. Subject to these Terms, ShowUp grants you a limited, personal, revocable, non-transferable, non-sublicensable license to use the Platform for its intended purpose. No rights are granted except as expressly stated in these Terms.
14. Suspension and Termination
We may suspend or terminate your access, remove content, or cancel a Pledge, Ticket, or transaction where we reasonably believe it is necessary to prevent fraud or abuse, enforce these Terms or event terms, protect users or the Platform, or comply with law. We will provide notice where appropriate and required by law. Termination does not affect obligations or rights that accrued before termination.
15. Force Majeure
ShowUp is not responsible for delays, changes, cancellations, or failures caused by events beyond its reasonable control, including severe weather, natural disasters, pandemics, strikes or labour disputes, artist illness or unavailability, venue closure, government restrictions, public-health measures, transportation disruptions, or utility and network failures. Refunds and other remedies remain subject to applicable law and the applicable event terms.
